Driply Terms of Use

1. Introduction

Welcome to Driply, a platform operated by Grascope Industries Ltd, a company registered under the laws of the Federal Republic of Nigeria, with its principal office at 48 Royal Avenue, Port Harcourt, Rivers State, Nigeria (“Grascope”, “we”, “our”, or “us”).

Driply connects vendors, creators, and shoppers within Africa’s vibrant beauty and fashion ecosystem. We enable the sale and discovery of fashion and beauty products, as well as user-generated content (UGC), through a culturally intelligent, social shopping experience.

By registering on or using Driply (the “Platform”), you agree to be bound by these Terms of Use, our Privacy Policy, and any additional policies published by Driply. If you do not agree, please do not use the Platform.

2. Definitions

“Creator” – A registered user who offers creative services or UGC (videos, photos, or media content) for sale to brands or other users.
“Vendor” – A registered user or business selling physical beauty or fashion products on the Platform.
“Shopper” – A user purchasing products or services on Driply.
“UGC” – User-generated content created or uploaded by a Creator, including videos, photos, and creative media.
“Escrow” – A secure holding system for payments until order fulfillment or dispute resolution.
“Wallet” – A digital account within Driply where users can receive or store funds.
“We/Us” – Grascope Industries Ltd (operator of Driply).

3. Eligibility and Registration

To use Driply, you must:

Be at least 18 years old or have legal capacity to contract under Nigerian law.
Provide accurate registration details, including valid contact and payment information.
Complete KYC verification as may be required by Driply or its financial partners (in line with CBN and NDPR standards).

We reserve the right to suspend or terminate any account that violates these Terms or provides false information.

4. User Categories and Responsibilities

4.1 Vendors

Vendors may upload and sell fashion and beauty products. They are responsible for ensuring that:

All products listed are genuine, safe, and accurately described.
Orders are fulfilled promptly and in accordance with Driply’s delivery policies.
Refund requests are addressed within 3 days of notification.

4.2 Creators

Creators may sell or license UGC or creative services on Driply. They agree that:

All UGC uploaded or sold must be original and not infringe any third-party rights.
Delivery timelines and quality expectations must be met as agreed with the buyer.
Refunds apply only in cases of non-delivery or breach of agreed deliverables.

4.3 Shoppers

Shoppers may browse, buy, and interact socially on the Platform. They agree to:

Provide accurate delivery and payment details.
Respond to order or refund-related communications within 3 days.
Use Driply only for legitimate transactions.

5. Platform Fees and Commissions

Driply charges:

5% commission on each sale completed by Vendors.
20% commission on each sale or service completed by Creators.

All transactions are processed in Nigerian Naira (₦). Fees may be automatically deducted before payouts.

Driply may also charge transaction or withdrawal fees as required by financial partners (e.g., paystack , stripe, 9PSB etc).

6. Payments, Escrow, and Payouts

Payments on Driply are held in escrow until the order is fulfilled or a dispute is resolved.

Payouts are released only after the buyer confirms delivery or after the 3-day response period expires.

For disputes, Driply may hold funds until resolution (within 3–5 days).

Both vendors and creators grant express permission for Driply to hold funds in escrow during this process.

Payments are processed via regulated financial partners under CBN guidelines.

7. Refunds, Returns, and Disputes

Buyers and vendors/creators must respond to any refund, return, or dispute request within 3 days.

Driply resolves disputes within 3–5 business days based on submitted evidence.

Refunds for physical products apply for:

Wrong, defective, or misrepresented items.

Refunds for UGC apply only for non-delivery or failure to meet agreed specifications.

If a refund is approved, payment will be made to the buyer’s wallet within 24–48 hours after resolution.

If a vendor or creator fails to respond within the required period, Driply may decide in the buyer’s favor.

8. Creator Services and UGC Rights

Upon sale, the buyer receives usage rights for the purchased UGC according to industry standards — typically allowing use in marketing, social media, or brand campaigns.

Grascope Industries Ltd retains full rights to all UGC created, hosted, or transacted on Driply for:

Platform promotion,
Dispute verification, and
Archival or analytical purposes.

Creators grant Driply a non-exclusive, royalty-free license to use uploaded content in marketing or operational materials.

9. Intellectual Property

All trademarks, branding, platform designs, and proprietary technology belong to Grascope Industries Ltd. Users may not reproduce, distribute, or exploit Driply’s intellectual property without prior written consent.

Users retain ownership of their own content but grant Driply the rights outlined above for platform and promotional use.

10. Prohibited Activities

Users may not:

Sell counterfeit, unsafe, or illegal items.
Post or upload content that is abusive, misleading, or violates third-party rights.
Circumvent payment systems or communicate outside Driply for off-platform transactions.
Use bots, scrapers, or automation to interfere with the Platform.

Violation of these rules may result in account suspension or permanent ban.

11. Liability and Indemnification

Driply provides the platform “as is” without any warranty of uninterrupted service.

Users agree to indemnify and hold harmless Grascope Industries Ltd, its officers, and affiliates against any loss or damage arising from:

Breach of these Terms,
Misuse of the Platform, or
Violation of any law or third-party rights.

12. Termination and Account Suspension

Driply reserves the right to suspend or terminate any account for:

Breach of these Terms,
Fraudulent activity,
Non-compliance with NDPR or CBN directives,
Inactivity exceeding 12 months.

Funds held in escrow may be refunded or forfeited depending on the case and evidence provided.

13. Data Protection and Privacy

Driply complies with the Nigeria Data Protection Regulation (NDPR).

User data is processed lawfully, securely, and only for operational purposes.

We do not sell or share user data with unauthorized third parties.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria.

All disputes shall be resolved through mediation or arbitration in Port Harcourt, Rivers State, unless otherwise agreed by both parties.

15. Miscellaneous

These Terms may be updated periodically; continued use of Driply signifies acceptance.

Notices may be sent to your registered email address.

You may not assign your rights under these Terms without written consent from Driply.

16. Consent and Acknowledgment

By using Driply, you confirm that you have read, understood, and agreed to these Terms of Use.
